Submitting a contact form, a venture partnership application, or a request for a quote does not create a binding service agreement or partnership unless both parties agree to specific terms in writing. Venture partnerships, including any fees and equity, are governed solely by a separate signed agreement and not by these Terms.

3. Quotes, Proposals, and Project Scope

Any quotes, estimates, or proposals provided by PrimeCode are based on the information available at the time.

Project timelines, pricing, and deliverables may change if:

• The project scope changes
• Additional features or revisions are requested
• Required information or approvals are delayed
• Third-party services or tools affect delivery
• Unexpected technical issues arise

Final project terms may be outlined in a separate agreement, invoice, or proposal.

4. Payments

Payment terms, due dates, deposits, and billing schedules will be provided in the applicable invoice, proposal, or service agreement.

Failure to make timely payments may result in project delays, suspension of services, or termination of work.

All payments are subject to the terms agreed upon between PrimeCode and the client.

5. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, necessary materials, and required approvals.

This may include:

• Business information
• Website content
• Branding assets
• Login credentials, where applicable
• Project requirements
• Feedback and approval decisions

PrimeCode is not responsible for delays caused by incomplete, inaccurate, or delayed client-provided information.

6. Intellectual Property

Unless otherwise agreed in writing, PrimeCode retains ownership of its pre-existing materials, tools, templates, code libraries, processes, and know-how.

Upon full payment, clients may receive rights to the final deliverables specifically created for their project, subject to any third-party licenses, platform restrictions, or separate written agreements.

You may not copy, resell, redistribute, or misuse PrimeCode's website content, branding, materials, or intellectual property without written permission.

7. Ideas and Submissions

Information you submit through our website, including venture partnership applications and contact forms, is not treated as confidential by default. PrimeCode builds its own products and works with many founders and businesses, and may already be developing or evaluating ideas similar to yours. Submitting an idea does not create any obligation for PrimeCode to keep it confidential, to compensate you, or to refrain from independently developing similar products.

If we decide to move forward after an initial conversation, we are happy to sign a mutual non-disclosure agreement before you share confidential or proprietary details. Please do not include confidential technical information in website submissions.

8. Third-Party Tools and Services

Our services may involve third-party platforms, plugins, hosting providers, APIs, payment processors, software, or other external services.

PrimeCode is not responsible for issues caused by third-party services, including downtime, pricing changes, policy changes, security incidents, or service limitations.

10. SMS / Text Messaging Terms

Program Name: PrimeCode SMS Notifications

Program Description: By providing your mobile phone number and opting in to receive SMS/text messages from PrimeCode, you agree to receive transactional text messages from PrimeCode related to service updates, quotes, scheduling, and follow-ups. These messages are intended to support communication regarding your inquiries, requested services, projects, appointments, and related customer support matters.

Product/Service Description: PrimeCode provides digital, software, web development, technology, and related business services. SMS/text messages may be used to communicate about requested services, project discussions, quotes, appointment scheduling, service updates, and follow-up communications.

After you reply STOP, you may receive one final confirmation message confirming that you have been unsubscribed. After this, you will no longer receive SMS/text messages from us unless you opt in again.
